Supervising and managing project teams through complex regulatory processes to achieve desired results. The creation and development of industrial and commercial properties as well as residential and commercial subdivisions. We have served as Special Counsel to Town Boards and Commissions with regard to a wide variety of land use and development issues. The firm provides counsel to both small and large corporations on a variety of matters. By way of illustration, advice is rendered as to the type of entity to be created for the formation of a business such as "C", "D", or "S" Corporations, Limited Liability Companies, etc.; addressing contract matters; the purchase of other businesses or the sale thereof; general corporate advice; succession plans for closely held businesses; and the preparation of required corporate documents, as well as filings to be made with the State. The firm's objective is to draft and prepare estate planning documents which both meet the client's personal and financial objectives while taking into account the Federal and State Estate Tax consequences. Wills and Trusts are carefully crafted to meet these objectives. There are instances where very simple wills are sufficient, where other situations may call for Trusts to be created for the benefit of minor or disabled children or parents, or instances in which Trusts are created to address Federal and/or State Estate Taxes. Additionally, and as a counterpart to the Estate Planning Process an assessment and evaluation of assets and the ownership thereof is recommended where appropriate. Further, as an adjunct to the Estate Plan, the firm will undertake the personalization and drafting of Durable Powers of Attorney, Health Care Proxies, Living Wills, Emergency Guardianship Proxies, and Declarations of Homestead, as required.
